These Terms & Conditions (“Agreement”) govern participation in the Wholesale / Retail Reseller Program offered by Altezza Brands Inc. (“Supplier”). By placing an order or participating in the program, the Reseller (“Customer”) agrees to the terms below.

 

1. Eligibility

The Reseller must be a legitimate business entity with a valid business license, tax ID, or reseller permit (as applicable in their jurisdiction). Approval is subject to Altezza Brands’ review and discretion.

 

2. Pricing & Discounts

Wholesale pricing is granted based on approved tier levels and Minimum Order Quantities (MOQs). Pricing is confidential and may not be publicly disclosed or shared with third parties. Volume-based discounts may apply and are outlined in the current price list or reseller agreement.

 

3. Ordering & Payment

Orders can be submitted via email, order form, or through an approved online portal. A minimum order value may apply ($500 per order). Accepted payment methods: bank transfer, credit card (processing fees may apply). Payment is due prior to shipping, unless net terms are pre-approved in writing. 

 

4. Shipping & Delivery

Delivery terms (EXW/FOB/DDP) must be confirmed at the time of order. Shipping costs are the responsibility of the Reseller unless otherwise agreed. Orders are shipped within 2–7 business days for in-stock items. The Supplier is not responsible for delays due to carrier, customs, or force majeure events.

 

5. Private Label or Custom Orders

Private label/custom branded orders require artwork approval, MOQ, and a 50% deposit. Custom orders are non-refundable and non-returnable unless defective or not as agreed. Estimated lead times vary between 15–45 days depending on complexity.

 

6. Returns & Claims

Claims for defective or incorrect items must be made within 7 days of receipt and include photographic documentation. Only unused items in original packaging may be eligible for return. Returns must be pre-approved, and restocking fees may apply. The Supplier reserves the right to refuse returns for any unauthorized or customized goods.

 

7. Reseller Responsibilities

Reseller is responsible for marketing, pricing, and selling products within legal and ethical standards. Products may not be resold on unauthorized online marketplaces, unless agreed in writing. Misrepresentation of products or brand is grounds for immediate termination.

 

8. Territory & Exclusivity

Unless expressly agreed, participation in the wholesale program does not grant exclusivity to any market, region, or sales channel. Requests for territory protection or exclusive distribution must be reviewed and approved separately.

 

9. Brand Representation

Reseller may use approved brand assets (logos, photos, descriptions) for marketing. Any modifications to brand materials must be approved by the Supplier.

 

10. Account Termination

The Supplier reserves the right to suspend or terminate a reseller account at any time for breach of terms, misrepresentation, or unethical behavior. Any outstanding balances must be settled immediately upon termination.

 

11. Limitation of Liability

Supplier’s liability is limited to the replacement or refund of affected products. The Supplier shall not be held liable for loss of profit, indirect, or incidental damages arising from product use or resale.

 

12. Governing Law

This Agreement is governed by the laws of Alberta, Canada. Any disputes shall be resolved through good faith negotiation, and if unresolved, through arbitration in the governing jurisdiction.

 

13. Amendments

These terms may be updated periodically. The most current version will be available at Calgary NE location and updated and published on Altezza Brands website. Continued participation in the program constitutes acceptance of the updated terms
